Kova POS & KovaPay by TNZ Productions

By purchasing, downloading, or using Kova POS or KovaPay, you agree to these terms. Please read them carefully. If you do not agree, do not use the software.

1. About TNZ Productions

TNZ Productions ("we," "us," "our") develops and distributes Kova POS point-of-sale software and operates the KovaPay payment processing platform. Our principal place of business is Spokane Valley, Washington, USA.

2. License to Use Kova POS

2a. What You Get

Upon purchasing a valid Kova POS license, TNZ Productions grants you a non-exclusive, non-transferable license to install and use Kova POS on a single Windows device at a single business location.

Lifetime license holders receive all future updates at no charge. Other license tiers receive updates for the duration of their active license. TNZ Productions reserves the right to change, add, or remove features in updates.

3. Payment & Refunds

3a. Pricing

License prices are listed at getkovapos.com and are in US dollars. Prices may change at any time but will not affect existing purchases.

3b. 30-Day Money-Back Guarantee

If you are not satisfied with Kova POS for any reason, contact us within 30 days of purchase for a full refund. No questions asked. After 30 days, all sales are final.

3c. Chargebacks

Filing a chargeback without first contacting us for a refund will result in immediate license revocation and may result in being barred from future purchases.

4. KovaPay Payment Processing

KovaPay is powered by Stripe Connect. By enrolling in KovaPay, you also agree to Stripe's Connected Account Agreement and Stripe's Terms of Service.

Payments processed through KovaPay are subject to Stripe's terms and policies in addition to these terms.

4a. Eligibility

KovaPay is available to US-based businesses only. You must be at least 18 years old, legally authorized to operate your business, and able to provide accurate identity and banking information for verification.

4b. Processing Rates

The standard KovaPay processing rate is 3.0% + $0.05 per transaction. TNZ Productions reserves the right to adjust rates with 30 days written notice. Your continued use of KovaPay after notice constitutes acceptance of the new rates.

4c. Payouts

Payouts are processed by Stripe on a standard schedule (typically 1–2 business days after transaction settlement). Payout timing may vary based on your account standing, Stripe's risk assessment, and applicable banking delays. TNZ Productions is not responsible for payout delays caused by Stripe or your bank.

4d. Prohibited Businesses

KovaPay may not be used for businesses that are prohibited under Stripe's terms, including but not limited to: illegal goods or services, firearms dealers (without proper licensing), gambling, adult content, multi-level marketing, or any business that violates applicable law.

4e. Chargebacks & Disputes

You are responsible for managing and responding to payment disputes and chargebacks. TNZ Productions does not intervene in disputes between you and your customers. Excessive chargebacks may result in suspension of your KovaPay account by Stripe.

4f. Account Suspension

Stripe or TNZ Productions may suspend your KovaPay account for suspected fraud, excessive chargebacks, violation of these terms, or violation of Stripe's policies. Funds held during suspension are subject to Stripe's policies.

5. Your Data

All POS data (orders, customers, menu, staff) is stored locally on your device. TNZ Productions does not have access to your business data unless you share it with us for support purposes. See our Privacy Policy for full details on what data we collect and how we use it.

6. Automatic Crash Reporting

Kova POS automatically sends error reports to TNZ Productions when the software crashes or encounters a significant error. These reports contain your store name, license key, software version, Windows version, and the technical error details. No customer payment data or personal customer information is included. You may opt out by contacting support@getkovapos.com.

7. Uptime & Availability

Kova POS is locally installed software — it does not require an internet connection for core POS functions (taking orders, printing receipts, cash drawer). Card processing through KovaPay requires an internet connection. TNZ Productions makes no guarantees about the availability of internet-dependent features including KovaPay, cloud backup, or online ordering integrations.

8. Intellectual Property

Kova POS, KovaPay, and all associated software, branding, and content are the intellectual property of TNZ Productions. Nothing in these terms transfers any ownership rights to you. The Kova name, logo, and brand are trademarks of TNZ Productions.

9. Disclaimer of Warranties

KOVA POS AND KOVA PAY ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TNZ PRODUCTIONS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TNZ PRODUCTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF KOVA POS OR KOVA PAY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO TNZ PRODUCTIONS IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless TNZ Productions, its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of Kova POS or KovaPay, your violation of these terms, or your violation of any applicable law or third-party rights.

12. Governing Law

These terms are governed by the laws of the State of Washington, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Spokane County, Washington. You consent to personal jurisdiction in those courts.

13. Dispute Resolution

Before filing any legal action, you agree to first contact TNZ Productions at support@getkovapos.com and attempt to resolve the dispute informally. Most issues can be resolved quickly through direct communication.

14. Termination

TNZ Productions may terminate or suspend your license immediately for violation of these terms, non-payment, or fraudulent activity. Upon termination, your right to use the software ceases immediately. Sections 8–13 survive termination.

15. Changes to These Terms

We may update these terms at any time. We will notify active licensees by email for significant changes. Your continued use of Kova POS or KovaPay after updated terms are posted constitutes acceptance. The "Last updated" date at the top of this page reflects the most recent version.

16. Entire Agreement

These Terms of Service, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and TNZ Productions regarding Kova POS and KovaPay.
